Assist the commission to administer daily government affairs and
Party affairs. Be responsible for handling official documents, information
of government affairs, confidential files, security and protection,
administrative affairs and more.
II. Policy, rule and regulation department
Study and work out a draft of local rules, regulations and related
policies of the state-owned assets management and supervision. Supervise
and inspect the implementation of policies, rules regulations of
the supervised enterprises. Study related legal issues in the reform
and development of the state-owned enterprises. Be responsible for
the propaganda of legal system and the education and legal consultative
service. Guide legal advisors of the state-owned enterprises in
their work. Assumes legal affairs of the commission.
III. Statistics and appraisal department
Be responsible for statistics of the state-owned assets and final
financial accounts and filing work of the supervised enterprises.
Build statistic information network of the state-owned capital fund.
Issue statistic information to the outside world according to related
provisions. Build and improve the appraisal method for the maintenance
and appreciation of the state-owned assets value. Work out appraisal
standards. Build and improve enterprise performance appraisal system
and be responsible to organize its implementation. Work out the
policies, systems and methods to reappraise the stocks and assets
of the state-owned enterprises. Organize the reappraisal of the
supervised enterprises. Be responsible to verify and write off assets
losses of the supervised enterprises according to related provisions.
IV. Performance appraisal department
Work out and organize the implementation of the operation responsibility
system of the state-owned assets. Study and improve the authorized
operation system, and supervise the authorized enterprises. Study
and put forward management methods by objectives, for example performance
contract, for the maintenance and appreciation of enterprises¡¯ assets
value, and organize its implementation. Comprehensively study operating
situation of the state-owned economy and key enterprises. Comprehensively
appraise business performance of the supervised enterprises according
to opinions on the supervised enterprises from all parties. Study
and put forward the suggestions and measures to investigate and
affix the responsibility for the significant decision-making. Conduct
budget management of the state-owned assets of the supervised enterprises
according to related provisions. Study and put forward budget planning
and enforcement scheme of the state-owned assets. Be responsible
to supervise the handover of capital fund gain of the supervised
enterprises.
V. Enterprise allocation department
Work out income allocation policy and method of the state-owned
enterprises; guide the state-owned enterprises in the reform of
the income allocation system. Regulate and control the total standard
of salary allocation in the supervised enterprises. Audit gross
payroll of the supervised enterprises. Study and work out salary
system and stimulating mode of personnel in charge the supervised
enterprises and organize the implementation. Build salary supervision
and management system of personnel in charge of the supervised enterprises.
Regulate and control salary standard.
VI Property right administrative bureau
Study and put forward measures to reform the state-owned assets
management and suggestions of state-owned assets management system.
Work out rules, regulations and management methods for the property
right definition, registration, transfer, disposal and dispute mediation
of the whole provincial state-owned assets. Be responsible for related
property right management of the state-owned assets in the supervised
enterprises. Be responsible for the approval and filing of assets
evaluation project of the supervised enterprises. Audit capital
fund variation, stock right transfer and bonds issuing scheme of
the supervised enterprises. Be responsible for work related to the
property right transaction of the state-owned assets in enterprises
and strengthen the supervision and management.
VII Planning and development department
Study and put forward policies and suggestions on the layout and
strategic adjustment of the state-owned economy. Guide the supervised
enterprises in conducting structural adjustment. Audit development
strategy and planning of the supervised enterprises. Implement the
investor¡¯s duty for significant decision-making in investment of
the supervised enterprises. Assist the supervised enterprises to
solve related issues in development.
VIII Enterprise reform department
Study and put forward policies and measures of the state-owned enterprises.
Guide the state-owned enterprises in building modern enterprise
system. Improve corporate governing structure. Study reorganization
scheme such as merger and stock system reform, going on the stock
market and joint venture of the supervised enterprises and the organizational
scheme of the state-owned assets operation companies. Make suggestions
on issues that need to be decided by the state-owned shareholders.
Be responsible for work related to organization of large-sized enterprise
groups. Participate in the guidance of enterprise direct financing.
Study and put forward policies and measures to develop large companies
and large enterprise groups with international competitiveness.
Guide the state-owned enterprises in the management work
IX Enterprise reorganization department
Work out the merger and bankruptcy plan of the state-owned enterprises
and organize the implementation. Study and put forward schemes related
to verification and writing-off of creditor¡¯s losses and employee
placement. Organize and coordinate the transformation of creditor¡¯s
right into stock right. Organize and coordinate merger, separation,
dissolution, liquidation and closedown and bankruptcy of the supervised
enterprises and the reorganization of enterprises that are in financial
difficulties. Coordinate and solve the significant issues in enterprise
reorganization.
X. Enterprise separation department
Guide the supervised enterprises in separation from the burden of
running social undertakings, primary and secondary business separation,
secondary business reform and surplus personnel placement. Cooperate
with related departments to work out a satisfactory placement for
laid-off personnel. Study and put forward reform scheme of separation
of the provincial party and governmental bodies from enterprises
that they run. Organize the implementation.
XI. Work department of board of supervisors
Be responsible for daily management of board of supervisors in accordance
with "the Provisional Regulations of Board of Supervisors of
the State-owned Enterprises".
XII. Enterprise leading personnel department
According to related provisions, assume inspection of leading personnel
of the supervised enterprises and put forward suggestions on the
appointment and removal. Inspect and recommend candidates of directors,
supervisors and independent director (chief financial officer).
Be responsible for file management and political examination of
the supervised enterprises' leading personnel for going abroad.
Be responsible for the backup team construction of the leading group
in the supervised enterprises. Explore inspection, appraisal, selection
and appointment mode of the leading group in the enterprises in
line with the requirements of the socialist market economic system
and modern enterprise system. Study and work out scheme to assign
state-owned stock right representatives to state-owned holding and
participating companies.
XIII Organization and propaganda department (Organization
department, Propaganda department and United front work department
of the Party committee)
According to related regulations, be responsible for the Party organizational
building, and Party member education of the supervised enterprises.
Be responsible for the Party ideological building, spiritual civilization
building and propaganda work of the supervised enterprises. Guide
the supervised enterprises in ideological and cultural building.
Be responsible for work related to propaganda and news reports to
the outside world. Guide the united front work of the supervised
enterprises.
XIV. Mass work department (Mass work department of the
Party committee)
According to related provisions, coordinate labor union, youth and
women work of the supervised enterprises. Assume related work of
the Communist Youth League in the supervised enterprises. Be responsible
to maintain the stability of the supervised enterprises. Be responsible
for work of complaint letter and visit.
XV Comprehensive department
Investigate and study significant issues in the reform, development,
Party building, leading group building and state-owned assets management
of the supervised enterprises. Summarize theoretic and practical
experience in the reform of the state-owned assets management system.
Be responsible to work out a draft of important documents and reports.
Be responsible to contact with trades associations.
XVI Administrative and financial department
Be responsible for daily administrative affairs of the commission.
Be responsible for organization of important conferences. Be responsible
for financial work of the commission. Be responsible to guide the
enterprises and institutions that subordinate the commission in
financial affairs, internal audit and reappraisal of the stocks
and assets, and guide the former specialized economic departments
in their assets management and more.
XVII Foreign affairs and foreign economic department
Be responsible for foreign affairs of the commission and immediate
subordinates. Be responsible for intellectual and expert work of
the supervised enterprises. Guide the supervised enterprises in
intellectual introduction. Develop domestic and international exchange
and cooperation. Supervise and manage the utilization of foreign
capital and overseas investment in the supervised enterprises.
XVIII Personnel and educational department
Be responsible for institutional planning and personnel management
of the commission and immediate subordinates. Be responsible for
training and continuing education of the supervised enterprises.
XIX. Retirement work bureau
Be responsible for service and management of retirees of the commission
(including the former specialized economic departments)
